Terms of Service

These terms govern your use of the vintr.co website and the vin/tr service. “VINTR GLOBAL LIMITED” (“vin/tr”, “we”, “us”, “our”) is a company incorporated in Hong Kong, with registered address [registered address to be confirmed]. Contact: Hello@vintr.co. Your use of the service is also governed by our Privacy Policy and our Cookie Policy.

1. Acceptance of these terms

By accessing or using the Website or the vin/tr service, you confirm that you are at least 18 years old and, if you are acting for a company or other organization, that you have authority to bind that entity to these terms. If you do not agree, do not use the Website or the service.

2. Who we are and what we do

vin/tr provides a managed business-to-business outreach service that connects wine producers with importers. On behalf of our producer clients, we set up and run email outreach campaigns to relevant importer contacts, including list building, sending infrastructure, warmup, sequencing and reporting.

We are a service provider, not a data vendor. We do not sell, license or rent our importer contact database to clients or to any third party. Clients pay for a managed outreach service, not for a copy of the data.

Information on the Website describing the service, its coverage, methods or results is provided for general information only. It is not a guarantee, warranty or representation of any specific outcome.

3. No performance guarantee

We make no guarantee of any specific result, including reply rates, open rates, inbox-placement rates, meetings booked, importer agreements or sales. Email deliverability depends on third-party mail providers, domain reputation, recipient behavior and other factors outside our control. Any results described on the Website or in our materials are illustrative and are not a promise of future performance.

4. The service, subscriptions and billing

The service is offered on subscription plans described at signup (for example Steady and Scale). Plans run for a minimum committed term, and billing is handled by our payment processor (Stripe). The specific plan, price, term and any adaptive-billing arrangement that apply to you are those you select and accept at signup, which together with these terms form the agreement between us.

Unless stated otherwise at signup: subscriptions are billed in advance; the minimum term applies; and where a market converts during the term, the subscription may be adjusted under the adaptive-billing arrangement described to you at signup. Prices are exclusive of any taxes that may apply. You are responsible for keeping your billing details current.

You may cancel in line with your plan and minimum term by contacting Hello@vintr.co. Cancellation stops future renewals; fees already paid for a current committed period are non-refundable except where required by law or expressly agreed. We may suspend or end the service for non-payment, breach of these terms, or misuse.

5. What you receive

At the end of an engagement, and where your plan provides for it, the outputs of your campaign are made available to you, which may include the reply data generated for you, the email sequences used, and the dedicated sending domain and inboxes set up for your campaign, so you can continue independently if you wish. To run your campaign, you grant us a limited, non-exclusive license to use your name, brand, wines and related materials for the purpose of carrying out the outreach you have engaged us for.

6. Your obligations and compliance

You agree to provide accurate information, to offer a lawful product, and you confirm that you have the right to market and sell the wines you ask us to promote. You are the advertiser behind your campaign. You are responsible for your own compliance with the laws that apply to you and your products, and for reviewing and approving the outreach content and target approach before campaigns run. You agree to tell us promptly of any contacts you wish to exclude (do-not-contact requests) and of any importer you no longer wish to be approached.

Rules for commercial outreach differ by market. Some countries allow business-to-business outreach on an opt-out basis, while others, such as Canada, require prior consent. We run every campaign to a standard designed to meet these rules across markets, including clear sender identification, a stated reason for contact, and a working opt-out in every message that we process promptly. You remain the advertiser, and you are responsible for confirming any market-specific consent requirements that apply to the audiences you ask us to reach.

vin/tr does not provide legal, tax, regulatory or compliance advice. Any market, regulatory or commercial information we share is general and informational only.

7. Acceptable use of the Website

You may use the Website for lawful purposes only. You agree not to:

  • Violate any applicable law or regulation;

  • Interfere with or disrupt the security, integrity or operation of the Website;

  • Use the Website to transmit spam, malware, phishing or unauthorized commercial messages;

  • Attempt to gain unauthorized access to our systems, accounts or data;

  • Scrape, crawl or harvest content or data from the Website without our prior written consent;

  • Impersonate any person or misrepresent your identity or affiliation; or

  • Reverse-engineer or attempt to derive the source of any part of the Website.

8. Intellectual property and our database

The Website and the service, including text, graphics, logos, design, software and case studies, are owned by or licensed to vin/tr and are protected by intellectual-property law. Our importer contact database, together with its structure, enrichment and the methods behind it, is our confidential property and, where applicable, protected by copyright and database rights.

Nothing in these terms transfers ownership of the database to any client. You may not copy, resell, redistribute, publish, sublicense, scrape or extract any substantial part of our database or the Website, nor create derivative works from them, except as expressly permitted in writing. You keep all rights in the materials you provide to us.

9. Confidentiality

Each party may receive non-public information from the other in connection with the service. Each party agrees to keep the other’s confidential information confidential and to use it only as needed to perform or receive the service, except where disclosure is required by law.

10. Disclaimers

The Website and the service are provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Although we work to keep contact data as current and accurate as we reasonably can, such data changes constantly and is provided without warranty as to its accuracy, completeness or currentness. We do not warrant that the Website or service will be uninterrupted, error-free or secure.

11. Limitation of liability

To the fullest extent permitted by law, vin/tr and its officers, employees and agents will not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profit, revenue, business or data, arising out of or related to the Website or the service. Our total aggregate liability for any claim arising out of or related to these terms or the service will not exceed the fees you paid to us for the service in the twelve (12) months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless vin/tr and its officers, employees and agents from any claims, damages, losses, liabilities and reasonable costs arising out of or related to: (a) your products or the content and claims you ask us to promote; (b) your breach of these terms; or (c) your violation of any applicable law or third-party right.

13. Suspension and termination

We may suspend or end your access to the Website or the service at any time for breach of these terms, non-payment, misuse, or where required by law. On termination, the license granted to you ends and any outstanding fees for your committed period remain payable. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, liability, indemnity and governing law) will continue to apply.

14. Third-party links and services

The Website and service may rely on or link to third-party services. We do not control and are not responsible for the content, practices or availability of third-party services, and your use of them is subject to their own terms.

15. Governing law and jurisdiction

These terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. The courts of Hong Kong will have exclusive jurisdiction over any dispute arising out of or related to these terms, the Website or the service, subject to any mandatory consumer-protection or data-protection rights you may have under the law of your own country.

16. Force majeure

We are not liable for any delay or failure to provide the Website or service due to events beyond our reasonable control, including outages, internet or infrastructure failures, cyberattacks, governmental actions or other similar events.

17. Changes, severability and entire agreement

We may update these terms by posting a revised version on this page; your continued use after an update constitutes acceptance. If any provision is found invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the rest will remain in effect. These terms, together with the plan you accept at signup and our Privacy Policy, are the entire agreement between us regarding the Website and the service.
